PROPOSED REVISED SYHA BY-LAWS
Several revisions and additions have been made upon recommendations from the Board and SYHA members at large. The goals of these proposed changes include:
- Giving Members more voice in who serves them on the board.
- Condensing the board to better match the size of our organization and minimize disengagement.
- Expand the committee structure to help run the day-to-day operations of our Association, allowing the board to focus on growth.
- Putting term limits in place as is customary on most non-profit boards.
Amongst the changes to the revised by-laws:
- Changing the board min/max to 7-9 directors.
- All board seats will be elected by the plurality of the membership at the Annual Meeting.
- Term limits. Directors can serve two consecutive terms after which there will be a mandatory three-year break.
- Removal of Directors from the board will require a 2/3 vote, which is consistent with Iowa Code for Non-Profits.
- The addition of Indemnification Clause to help insulate board members.
